Biotech Services · CRO Budgets & Contracts

Understanding the CRO budget before you sign.

Independent commercial review of CRO budgets, assumptions and contract terms for biotech companies.

— Overview

The period before contract signature is an important opportunity to understand exactly what is being bought, how the CRO budget has been constructed and where costs could change during the study.

Henley provides independent review of CRO budgets and commercial terms against the proposed scope and study requirements. We look beyond the total contract value to understand the assumptions behind the numbers, identify areas of potential cost exposure and help sponsors decide which points are worth clarifying or negotiating before award.

For biotech companies operating with lean internal teams, an independent commercial review can provide additional experience at a point when significant financial commitments are being made.

Our perspective comes from more than two decades inside the CRO industry, including direct experience of pricing, proposals, contracts and commercial negotiations.

— Experience

CRO commercial experience on the sponsor's side.

Henley brings direct experience of how CRO proposals are priced, negotiated and contracted.

That experience helps us understand how a CRO budget has been developed, which assumptions are driving cost, where commercial flexibility may exist and which areas are more important to resolve before signature.

Our role is to provide an independent commercial perspective alongside the sponsor's clinical, finance, procurement and legal teams.

We do not provide legal advice. Where legal interpretation or drafting is required, we work alongside the sponsor's legal counsel.

— Detail

Looking beyond the total CRO budget.

The initial contract value is only part of the commercial picture. Henley looks at the assumptions and mechanisms behind the budget to understand how costs may develop over the life of the study.

We consider:

  • →Whether the budget reflects the agreed scope
  • →The assumptions behind unit rates and resource levels
  • →Differences between the proposal, budget and contract
  • →Activities that are excluded, optional or separately charged
  • →Pass-through costs, overheads and mark-ups
  • →Payment schedules and their impact on cash flow
  • →Assumptions that could lead to future change orders
  • →Commercial provisions relating to changes in scope
  • →Areas where clarification or negotiation may be worthwhile
  • →How costs will be tracked and reconciled during the study

The objective is not simply to reduce the initial price. It is to help the sponsor understand the commercial commitment, identify material areas of risk and enter the CRO relationship with greater clarity over how the budget may change.

— Focused Review

Already have a CRO budget or contract?

You do not need to engage Henley for the complete CRO selection process.

If you have reached preferred-provider selection or are already approaching contract signature, Henley can provide a focused independent commercial review of the CRO budget, assumptions and relevant commercial terms.

The review can identify areas requiring clarification, potential cost exposure, change-order risk and points worth considering before final negotiation or signature.

Where appropriate, we can work alongside the sponsor's clinical, finance, procurement and legal teams through the final commercial discussions.

— FAQ

Frequently asked questions.

How do we know whether a CRO budget is reasonable?

Start with the assumptions behind the total.

Scope, unit rates, resource assumptions, monitoring approach, data requirements and pass-through costs should be considered together. Two CROs can arrive at different budgets because they have interpreted the study differently rather than because one is simply more expensive.

Henley helps sponsors understand those differences and identify the areas that warrant further clarification or negotiation.

Can Henley benchmark CRO pricing?

We can assess CRO pricing in the context of the proposed scope, assumptions, resource model and our experience of CRO commercial models.

Where direct comparisons are available they can be useful, but CRO budgets should not be assessed on individual unit rates alone. Differences in scope, assumptions, resourcing and delivery model can have a greater impact on the overall cost of the programme.

Where can CRO change orders come from?

Change orders can arise for many legitimate reasons, including changes to enrolment, country or site numbers, timelines, monitoring requirements, data volumes or the protocol itself. They can also result from differences between the original assumptions and what the study ultimately requires. Reviewing those assumptions before signature helps the sponsor understand where future cost exposure may exist.

What can be negotiated with a CRO?

It depends on the CRO, programme and commercial context.

Potential areas can include pricing, overheads, payment schedules, assumptions, change-order provisions and other commercial terms. The objective is not simply to negotiate every available point, but to concentrate on the areas that materially affect cost, risk and the working relationship.

Do you provide legal advice on CRO contracts?

No. Henley provides commercial rather than legal advice. We can review the commercial implications of contract terms and identify areas for discussion or negotiation, working alongside the sponsor's legal counsel where legal interpretation or drafting is required.

Can you review a CRO budget or contract if we are already close to signature?

Yes. Henley can provide a focused independent review at the final proposal or contracting stage without having been involved in the earlier CRO selection process. This can include review of the budget, assumptions, payment structure, change-order provisions and other commercial areas before final negotiation or signature.
